Block Capital Tech

We make unconventional businesses defensible for traditional investment committees.

Who we are

Block Capital Tech advises companies that operate — or intend to operate — in blockchain, digital assets, and non-conventional financial markets. The usual obstacle is not the idea. It is that the project is not in a form that fund counsel, a compliance officer, or a credit committee can sign.

That is why the work starts with structure: risks, regulatory framework, tax posture, and operating governance. Only once the case is enabled do we design the transaction architecture. And only when that architecture survives the internal filter do we take it to a qualified circle of investors through a segregated vehicle.

Visión

To be the firm called when a digital project must stop being “interesting” and become an acceptable counterparty for institutional or quasi-institutional capital.

MisSIOn

Translate digital-asset businesses and non-traditional structures into language a committee can approve: named risks, anticipated tax obligations, operable compliance, and a clean path for capital to enter.

Principles

  • Enablement before speed. A fast close on a fragile structure is not a success.

  • Named risk. What is left out of the opinion reappears in the investor’s diligence.

  • Operable compliance. Policies that cannot be executed serve neither the founder nor the fund.

  • Circle, not market. The capital we originate travels through relationships that already know our standard.

How we work

01  ·  Enablement opinion.

Business feasibility read through risk, the required legal framework, and financial viability. Includes a regulatory map, tax exposure, and operating breakpoints.

02 · Transaction architecture.

The file a committee needs in order to authorize debt or equity: corporate structure, terms, use of proceeds, implicit covenants, KYC/AML, and the legal narrative of the round.

03 · Placement in a qualified circle.

If the case clears the filter, we present it to the firm’s clients, partners, and allies and structure an SPV or segregated vehicle to participate as an equity partner in that specific transaction.

Services

Enablement opinion

A blockchain or digital-asset project is not financed on its white paper. It is financed if someone can explain, in writing, what can go wrong and how it is contained. The opinion covers the business thesis, the legal framework that holds it, the foreseeable tax burden, and the risks a sophisticated investor will ask about in any event.

  • Commercial feasibility of the model in a regulated or semi-regulated setting.

  • Study of the legal framework required: authorization, contracts, custody, counterparty, anti-money-laundering.

  • Financial and treasury feasibility, including digital-asset volatility when it is part of the model.

  • Map of residual risks and the controls corporate governance must adopt.

Transaction architecture

We turn the opinion into a package that can be placed in front of a credit committee, a fund, a family office, or a private investor. It is not “the deck.” It is the legal and financial logic of how the money enters, who governs, what is disclosed, and what is left out.

  • Corporate and round structure (including an ad-hoc vehicle when useful).

  • Memorandum and model aligned with what a risk analyst can audit.

  • Preparation for compliance, tax, and counterparty questions.

  • When a merger, acquisition, or reorganization is in play, the same standard applies to closing and integration.

Placement in a qualified circle

The flow of models we review shows us which cases are ready for capital and which only appear to be. In the former, we act as originators before a circle of investors who already work with us: we present the thesis, the opinion, and the vehicle. The investor enters that specific venture, not a blind fund.

  • Prior selection. No internal filter, no approach.

  • SPV or segregated vehicle documented for that transaction.

  • A long relationship with the circle; no cold placement to the general market.

Who it is for ?
  • Blockchain, crypto-asset, or non-traditional-market teams about to ask for capital from desks that require a file.

  • Companies that already bill and need risk, tax, and governance in order before a round.

  • Sponsors who must show a committee that the structure survives legal and compliance review.

What we don’t do
  • We do not replace trial counsel or the external auditor.

  • We do not sell tokens to the public or operate exchanges.

  • We do not present to the circle projects we would not have enabled ourselves.

CONTACT

If your digital business does not yet fit the language of a committee, the first deliverable is the enablement opinion. The round is discussed after that.
